Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Wade AI Inc. (“Wade,” “we,” or “us”) governing your use of our website and the Wade application (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using Wade on behalf of a company, you represent that you have authority to bind that company, and “you” refers to it.

Wade helps teams research, plan, and produce short-form video content, including AI-assisted analysis of video, generation of concepts, and creation of video assets. The Service is in active development and currently offered as an early-access product: access may be invite-only, and features may change, be suspended, or be discontinued at any time.

You must be at least 18 years old, or the age of majority where you live, to use the Service. You agree to provide accurate account information, keep your credentials secure, and notify us promptly of any unauthorized use of your account. You are responsible for activity that occurs under your account.

You may upload or submit content to the Service, such as screen and camera recordings, video files, images, links, product information, and written prompts (“Your Content”). You retain ownership of Your Content. You grant Wade a worldwide, non-exclusive license to host, store, process, reproduce, modify, and display Your Content solely to operate, provide, and improve the Service, including processing by the automated systems that power Wade’s features.

You are responsible for Your Content, including having the rights needed to submit it. If you direct the Service to retrieve content from a link, such as a public social media post, you are responsible for ensuring that your use of that content complies with applicable law and the source platform’s terms.

The Service produces analysis, concepts, and video assets based on your inputs (“Output”). Subject to these Terms and any third-party rights in your inputs, you may use Output for your business purposes, including commercially. Output is generated by automated systems: it may be inaccurate or incomplete, may resemble output generated for others, and is not guaranteed to perform in any particular way. You are responsible for reviewing Output before relying on or publishing it.

Use of certain features is metered in credits. Credit allocations, rates, and reset schedules are set by Wade and may change. Your plan includes a set number of credits each month. Unused credits expire when your monthly credit balance resets and do not roll over to the next month, even if your subscription is billed annually. Trial or promotional credits may have separate expiration or rollover terms disclosed when they are granted. Credits have no cash value, are not transferable, redeemable, or refundable, and expire when your access to the Service ends. If a job fails, we aim to return the associated credits, but credit balances are otherwise not guaranteed.

You agree not to:

• use the Service for anything unlawful, deceptive, or infringing on the rights of others;
• create content that impersonates a real person, or depicts an identifiable person, without their consent;
• upload content you do not have the right to use, or content that is harmful, hateful, or sexually exploitative;
• probe, scrape, or bulk-export the Service, interfere with its operation, or circumvent access controls or usage limits;
• reverse engineer the Service or use it to build a competing product.

We may suspend or terminate access for violations of this section.

The Service, including its software, design, models, and branding, is owned by Wade and its licensors. Except for the rights expressly granted in these Terms, no rights in the Service are transferred to you.

You may stop using the Service at any time. We may suspend or terminate your access at any time, including if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and we may delete Your Content and Output after a reasonable period. Sections of these Terms that by their nature should survive termination will survive.

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Wade disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate or meet your requirements.

To the fullest extent permitted by law, Wade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Wade’s total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim arose and one hundred US dollars ($100).

You will indemnify and hold Wade harmless from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of applicable law or the rights of a third party.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email or a notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
